Using our Services

THESE TERMS OF SERVICE (“TERMS”) BIND YOU AND THE COMPANY YOU REPRESENT (COLLECTIVELY “YOU”) TO THE TERMS AND CONDITIONS SET FORTH HEREIN IN CONNECTION WITH YOUR USE OF Edkairos (“OUR”, “WE”, “US”, OR “Edkairos”), WEBSITE, SOFTWARE, APPLICATIONS, SERVICES OR OTHER OFFERINGS (COLLECTIVELY, OUR “SERVICES”). BY USING ANY OF THE OUR SERVICES OR CLICKING ON THE “SIGN UP” BUTTON, YOU AGREE TO BECOME BOUND BY THE TERMS. IF YOU DO NOT AGREE TO ALL THESE TERMS, CLICK ON THE “CANCEL” BUTTON AND DO NOT USE OUR SERVICES.

You may use our Services only as permitted by law. Don’t use our Service in a manner that would lead to infringement of our rights or rights of third parties or could cause disadvantage to other users.

Clients are not allowed to use the Services for their own activities, which would be in the competitive nature of the business of the Provider, particularly to provide services under its own name and at your own risk. The establishment of such activities is considered a gross breach of terms.

To protect your account you are obliged to keep your password confidential.

By using the Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications, if such an option is made available.

You agree not to use the Services to recruit, solicit, or contact users for employment or contracting for a business not affiliated with us without our advance written permission.

As a user, you represent, warrant and covenant that:

You have read, understood, and agree to be bound by the pricing information
You are over the age of 18, or, if not, You will only use the Services with the supervision and approval of a parent or legal guardian.
You will not upload, post or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services.
You will not post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information.
You will not copy, modify, reverse engineer, reproduce, distribute, publicly display, or otherwise use and exploit any content, theServices or except as permitted by these terms.
You will not impersonate another person.
You will not introduce any malicious code intended to damage or hijack the operation of any equipment.
You will not use any automated means in order scrape the content and the Services.

Privacy and Publisher Terms

Any personal information submitted in connection with Your use of the Services is subject to Our Privacy Policy, which is hereby incorporated by reference into these Terms.

If you have an Edkairos Account, we may display your name, photo, reviews you write and comments you post in our Services.

You can limit visibility of this information using settings and we will respect the choices you make.

Additionally, if You are a Publisher (as defined below), You are also subject to the Publisher Terms, which are hereby incorporated by reference into these Terms.

Content

Our Services display some content that is not ours, for example course uploaded into the Service by other users. This content is the sole responsibility of the entity that makes it available.

We review content to determine whether it is illegal or violates our policies. In such a case we may remove content that we believe violates our policies or the law.

Our Services allow you to upload, submit, store or send content. The ownership of any intellectual property rights that you hold in that content retain to you. Before you provide us your content, make sure you have the necessary rights to grant us (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display and distribute for any content that you submit to our Services.

We might analyze your content to provide you relevant features, such as customized search results, tailored promotions or advertising.

Edkairos hereby grants You (as a User) a limited, non-exclusive, non-transferable license to access and use Courses for which You have paid all required fees, solely for educational purposes, and in accordance with type of license or restrictions associated with particular Courses purchased and in accordance with these terms. All other uses are expressly prohibited. Not with standing the foregoing, we reserve the right to revoke this license to access and use Content granted to You as described above.

Copyright Protection

We are responding to notices of alleged copyright infringement. We might terminate accounts of users that conduct infringement repeatedly. If you believe somebody is violating your copyrights and want to notify us, you can find additional information about process in our Help Center.

Software License

We gives you a personal, worldwide, non-exclusive and non-assignable license to use the software provided to you as part of the Services. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer the software.

Our Services enable customers (“Customers”) to connect with publishers (the “Publishers”), independent instructors (the “Instructors”, collectively with Customers, the “Users”) who provide interactive digital content-packaging, instruction, tutoring, and learning services (the “Courses”), templates, images, image collections or other kind of digital assets (the “Digital assets”) via Our Services.

Pricing & Payment

In some countries, prices shown to buyers in catalog, on search and course pages must equal the amount paid at time of payment, so it includes all taxes (including VAT).

Pricing of Edkairos Courses is determined by an internal algorithm. The list price is displayed on the course page and during the purchase and checkout process. The list price is equal to the amount to be charged from your credit card. You agree to pay the fees for the course that you purchase, and hereby authorize us to charge your credit card for such fees.

All Other Countries

For sales in countries other than the US, you are responsible for remitting the taxes to the appropriate taxing authority. Edkairos is unable to provide. You with tax advice and You should consult Your own tax advisor.

Refunds

Edkairos doesn’t offers any money back guarantee on courses that are purchased or subscribed by you on the Edkairos website, nor we do not do refunds on platform subscription fees or any other purchases or fees.

Trademarks

These terms do not grant you the right to use any branding, logos, trademarks, service marks, and logos (the “Trademarks”) used and displayed in our Services. Don’t modify, obscure, remove any legal notices displayed in or along with our Services, or link to them without Our prior approval.

Disclaimer

General Disclaimer
We are not responsible or liable for any interactions involved between the Publishers, Instructors and the Customers or other Users. We are not responsible for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to conduct of Publishers, Instructors or Customers.

We do not control Content submitted or posted on the Services and, as such, do not guarantee in any manner the reliability, validity, accuracy or truthfulness of such Submitted Content.

Warranty Disclaimer

However we provide our Services with reasonable service level agreement, there are aspects that our Service cannot guarantee.

OUR SERVICES MADE AVAILABLE ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER EDJET NOR ITS PUBLISHERS OR DISTRIBUTORS, AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS, SPONSORS AND AGENTS, DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT EXPRESS IN ANY WAY IF THE SPECIFIC FUNCTIONS OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE DO NOT GUARANTEE THAT USE OF THE SERVICES WILL BE SECURE OR ERROR-FREE.

TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL IMPLIED WARRANTIES THAT MAY BE PROVIDED BY SOME JURISDICTIONS.

Limitation of Liability

EDKAIROS, AND ITS PUBLISHERS OR DISTRIBUTORS, AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS, SPONSORS AND AGENTS, WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES AND ALSO WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.

TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF EDKAIROS, AND ITS PUBLISHERS OR DISTRIBUTORS, AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS, SPONSORS AND AGENTS, FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICES.

Updating and Termination of our Services

We may remove features of the Service, add or create new limits to our Services at any time and we may stop a Service altogether. We also reserve the right to terminate, suspend, modify, or delete any Content.

About Terms of Service

If a particular term in this agreement is not enforceable, this will not affect any other terms.

You may terminate your use of the Services at any time. We have no obligation to retain any of your submitted content or account for any period of time beyond what may be required by law.

Any claim arising out of or related to use of the Services, must be filed within 2 months after such claim or cause or action arose.

If the claim of action is not filed within this period, such claim or cause of action are forever barred.
